Become a Referral Partner

1. Overview

The AskOtto.ai Referral Program (the "Program") rewards individuals ("Referrers") who share a personal referral link with business owners, when those business owners ("Referred Businesses") sign up for and become paying subscribers of AskOtto.ai. The Program is designed to be simple to understand, easy to earn from immediately, and increasingly rewarding for Referrers who refer multiple businesses.

2. Reward Structure

Rewards are tiered based on the Referrer's lifetime, cumulative count of Qualifying Referrals (defined in Section 3). Tiers apply forward-only: reaching a new tier does not change rewards already earned or paid on prior referrals.

• "Net Revenue" means revenue actually collected by AskOtto.ai from the Referred Business, net of refunds, chargebacks, taxes, and discounts.
• The 5% Partner-tier reward is calculated and paid monthly for 12 consecutive months beginning on the Referred Business's first successful paid billing date, regardless of any later cancellation or reactivation by that business.
• Reward tiers are evaluated using the Referrer's total lifetime referral count; once a Referrer reaches five (5) Qualifying Referrals, all subsequent (not prior) referrals earn the Partner-tier reward.

3. Qualifying Referral — Definition

A referral becomes a "Qualifying Referral", and a reward is earned, only when all of the following are true:

• The business owner signs up using the Referrer's unique referral link or code.
• The signup occurs within 90 days of the referral link being clicked (the "Attribution Window").
• The Referred Business completes its first successful paid billing cycle on AskOtto.ai.
• The Referred Business is a genuinely new AskOtto.ai customer — not an existing customer, an existing lead already in AskOtto.ai's pipeline at the time of referral, or an account owned or controlled by the Referrer.
• At least 30 days have passed since the first successful paid billing date (the "Hold Period"), to confirm the account is in good standing before reward payout.

4. Payout Terms

Starter tier ($100 flat): Paid once, within 15 days after the 30-day Hold Period is satisfied.

Partner tier (5% revenue share): Calculated monthly on Net Revenue collected in the prior month, and paid within 15 days of month-end, for up to 12 consecutive months per Referred Business.

Payment method: Direct deposit / electronic payout via the Program's payment processor. Referrers must provide valid payout information to receive funds.

Currency: All amounts stated in U.S. Dollars (USD).

Cap: Partner-tier payouts are capped at $250.00 per month unless otherwise documented in writing per Referred Business.

5. Referral Attribution

Each Referrer is issued a unique, trackable SMS referral link (e.g., askotto.ai/r/[code]) upon enrollment. Referrals are attributed on a first-click, last-touch basis within the Attribution Window. AskOtto.ai's tracking records are the sole and final basis for determining attribution and reward eligibility.

6. Tax Reporting

Referrers are independent participants, not employees or agents of AskOtto.ai. Referrers who earn $600.00 or more in total Program rewards within a calendar year will be issued IRS Form 1099-NEC and must submit a completed Form W-9 prior to receiving payout. Referrers are solely responsible for any taxes owed on rewards received.

7. Program Integrity & Prohibited Conduct

The following will disqualify a referral from reward eligibility and may result in removal from the Program:

• Self-referrals, or referrals of businesses owned or controlled by the Referrer or their immediate family.
• Referring businesses already known to AskOtto.ai's sales pipeline prior to the referral.
• Spam, misleading claims, or unsolicited bulk messaging used to generate signups.
• Any signup that is cancelled, refunded in full, or found to be fraudulent.
• Manipulating tracking links, click data, or attribution in any way.

8. Program Changes & Termination

inSearchX, dba AskOtto.ai may modify or terminate the Program at any time, for any reason, with notice provided to enrolled Referrers. Reward tiers, caps, and terms described here apply to referrals made while this version of the Program is in effect. Rewards already earned and confirmed under Section 3 prior to any change will still be honored according to these terms.

9. Acceptance

By enrolling in the Program and accepting a referral link, the Referrer agrees to these terms in full.
